Terms of Service
1. Agreement to These Terms
These Terms of Service ("Terms") are a binding agreement between you and Neurow, Inc., a Delaware corporation ("Neurow," "we," "us"), based in Austin, Texas, United States. They govern your use of the Neurow website (neurow.io), the Neurow desktop application, and related services (together, the "Service").
By creating an account, joining the waitlist, or using the Service, you agree to these Terms and to our Privacy Policy, which describes how we handle your data. If you do not agree, do not use the Service.
2. What Neurow Is
Neurow is an AI-powered coaching and personal-development service — a life operating system that helps you set goals, protect time for what matters, build awareness of your own behavioral patterns, and follow through on your plans. The Service uses artificial intelligence to deliver coaching conversations, briefings, and insights personalized to you.
You are interacting with artificial intelligence, not a human coach. This is disclosed at onboarding, visible in the product, and restated here.
3. Neurow Is Not Medical or Mental Health Care
This section is important. Please read it carefully.
- Neurow provides coaching and behavioral wellness support for personal development. It is not medical care, mental health treatment, therapy, psychotherapy, counseling, diagnosis, or a substitute for any of these.
- Neurow is not a licensed physician, psychologist, therapist, or healthcare provider, and the Service does not create a provider-patient or therapist-client relationship.
- Coaching insights are observations about patterns — never diagnoses, clinical assessments, or treatment recommendations. Nothing in the Service should be interpreted as a claim to treat, cure, mitigate, or prevent any disease or condition.
- Do not use the Service as a basis for medical decisions. Always consult a qualified professional for medical, mental health, legal, or financial concerns.
- The Service is not for crises. If you are experiencing a mental health emergency or are thinking about harming yourself or others, do not use the Service — call or text 988 (Suicide & Crisis Lifeline, US), call your local emergency number, or go to the nearest emergency room.
4. Eligibility
You must be at least 18 years old to use the Service. By using the Service you represent that you are 18 or older and have the legal capacity to enter into these Terms.
5. Private Beta
The Service is currently offered as a private beta. That means:
- Access is by invitation and may be granted, limited, or revoked at our discretion.
- Features may change, break, or be removed without notice; availability is not guaranteed.
- We may contact you about your experience. Feedback you choose to give us may be used to improve the Service without obligation or compensation to you — but your personal coaching data is never treated as "feedback" and remains governed by the Privacy Policy (we do not train AI models on your data).
- Neurow is a paid subscription service. During limited early-access, alpha, or founding-member periods, access may be offered free of charge on a time-limited basis. Founding Circle members pre-pay to reserve founding-member pricing and benefits; recurring subscription billing does not begin at the time of that reservation. We will give you clear advance notice and ask you to affirmatively accept the applicable pricing before any recurring charge begins, and we will never bill you a recurring fee without your explicit prior consent.
6. Your Account
You agree to provide accurate information when creating your account and to keep your sign-in credentials secure. You are responsible for activity that occurs under your account. Notify us promptly at hello@neurow.io if you suspect unauthorized use.
7. Your Content and Your Data
Everything about you is yours. You retain ownership of the content you provide to the Service (conversations, goals, notes, imported data) and the data and insights generated about you. You can inspect, export, correct, and permanently delete your data at any time, as described in the Privacy Policy — including a complete right-to-erasure pipeline that removes your data across all storage systems.
To operate the Service, you grant Neurow a limited, non-exclusive license to host, process, and display your content — solely for the purpose of providing the Service to you. This license ends when you delete your content or your account, except for the narrow security-and-integrity records described in the Privacy Policy (Section 10), which are rendered permanently unreadable and unlinked from you upon deletion.
What remains ours: the coaching methodology, software, prompts, algorithms, models of organization, and the architecture that structures your information (Section 9).
8. Google and Third-Party Integrations
- Google Calendar. If you choose to connect your Google account, Neurow accesses your Google Calendar (read, and — with your explicit per-action approval — write) to deliver coaching features. Neurow's use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. You can revoke Neurow's access at any time via your Google Account security settings or from within the app.
- Optional integrations. If you connect other services (Gmail, Drive, Slack, Notion, and others) via Settings → Integrations, those connections are processed through our integration platform partner as described in the Privacy Policy (Section 5b). You can disconnect any integration at any time.
- Third-party terms. Your use of any connected third-party service remains governed by that service's own terms and policies. We are not responsible for third-party services.
- Bring Your Own Key. If you configure your own AI provider API key, your relationship with that provider is governed by your agreement with them, as described in the Privacy Policy (Section 5).
8b. SMS Text Messaging
If you opt in to receive SMS text messages from Neurow (for example, coaching check-ins, morning briefings, or session reminders), you agree to receive recurring text messages at the mobile number you provide. Message frequency varies based on your coaching cadence and preferences. Message and data rates may apply, depending on your mobile carrier and plan. You can opt out at any time by replying STOP to any message, or reply HELP for assistance. See our Privacy Policy for how we handle your mobile number and messaging data.
9. Neurow's Intellectual Property
The Service — including the software, design, coaching methodology, prompt systems, algorithms, knowledge-graph architecture, and all content we created — is owned by Neurow and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use during the beta. You may not copy, modify, distribute, sell, lease, reverse-engineer, or attempt to extract the methodology or source of the Service, except where such restriction is prohibited by law.
10. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of these Terms
- Attempt to access another user's data or probe, scan, or test the vulnerability of the Service without authorization
- Interfere with or disrupt the Service, including by circumventing rate limits or security controls
- Use automated means to scrape or bulk-extract the Service beyond your own data-export rights
- Misrepresent the Service's outputs as medical, legal, or financial advice to others
- Use the Service to develop a competing coaching methodology by systematically extracting its behavior
11. AI Outputs
Coaching responses are generated by artificial intelligence. They may be incomplete, inaccurate, or not suited to your circumstances. The Service is advisory: it surfaces patterns and suggestions to inform your thinking — you make your own decisions and remain responsible for them. Neurow never takes consequential actions on your behalf without your approval.
12. Termination
You may stop using the Service and delete your account at any time. Upon account deletion, your data is removed as described in the Privacy Policy (deletion completed within 30 days). We may suspend or terminate your access if you materially breach these Terms, if required by law, or — during the beta — at our reasonable discretion with notice. Sections that by their nature should survive termination (including Sections 7, 9, 13, 14, 15, and 16) survive.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY COACHING OUTCOME WILL BE ACHIEVED. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEUROW AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS ($100). NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW.
15. Indemnification
You agree to indemnify and hold Neurow harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms or your misuse of the Service, except to the extent caused by our own breach or negligence.
16. Governing Law and Disputes
These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles.
Any dispute arising from these Terms or the Service will be resolved exclusively in the state or federal courts located in Travis County, Texas, and you consent to personal jurisdiction there. Before filing a claim, you agree to contact us first and attempt to resolve the dispute informally within 30 days.
Nothing in these Terms limits rights that EEA or other non-US users have under mandatory local law.
17. Changes to These Terms
We may update these Terms as the Service evolves. If a change is material, we will notify you (by email or in-app notice) before it takes effect, and your continued use after the effective date constitutes acceptance. We will not quietly change the data-ownership commitments in Section 7 — material changes to those require the notification-and-consent process described in the Privacy Policy.
